Subscription and Software Terms

1. Agreement and eligibility

These terms are a binding agreement between ARIS PARTY LLC, doing business as Aris Party, and the person or organization purchasing or using ShowCase. By creating an account, starting a subscription, or using a paid feature, you agree to these terms and the ShowCase Privacy Policy. If you act for an organization, you confirm that you can bind it. You must be at least 18, or the age of legal majority where you live.

2. Plans, seats, and recurring billing

Solo is $240 per year or $29 per month for one user. Team is $1,200 per year or $125 per month for up to five users. Firm is $4,500 per year or $475 per month for up to 100 users. Firm Plus is $15,000 per year or $1,575 per month for up to 500 users. Enterprise begins at $15,000 per year plus $120 per additional user above 500 and requires an annual contract. Prices are in U.S. dollars before applicable tax.

Monthly and annual plans renew automatically for the same interval until cancelled. Solo includes a 30-day card-required trial for eligible new subscribers. Verified firms may receive one 30-day, no-card guided pilot at the selected plan capacity. By subscribing, you authorize the applicable billing provider to charge renewals, tax, and approved plan changes. The purchase surface displays the interval, capacity, trial, and total before confirmation.

3. Cancellation, plan changes, and refunds

You may manage billing and cancel through the Stripe customer portal available from ShowCase. Unless the portal or applicable law states otherwise, cancellation takes effect at the end of the paid billing period and stops future renewals. You remain responsible for charges incurred before cancellation.

Payments are non-refundable except where required by law or where Aris Party expressly approves a refund. Approved full refunds, chargebacks, or payment reversals revoke the related entitlement. Plan or capacity changes may create prorated charges or credits, which the billing portal displays before confirmation.

4. License and entitlement checks

While your subscription is active, Aris Party grants you a limited, non-exclusive, non-transferable, revocable license to install and use ShowCase for your internal professional or personal work, subject to your plan and licensed-user limit. Firm administrators must use individual accounts, keep authenticator MFA enabled, have authority over claimed domains, and are responsible for authorized enrollment, suspension, invitations, and role assignment. A verified domain may be exclusive to one firm account.

ShowCase verifies entitlement with Aris Party's server. After a successful online check, a cryptographically signed offline token may continue paid active access for up to 72 hours, or trial/payment-grace access for up to 24 hours. A payment failure may receive a seven-day grace period; refunds and chargebacks stop new token issuance immediately. Expired users may read, export, and delete local files but may not import, edit, synchronize, or present until access is restored. Demo Mode permits tutorials and bundled sample-case practice.

Firm membership grants a product entitlement only. It never grants access to every firm case. Each case must be shared separately, and case access changes are independently audited. A user may retain one personal Solo account and belong to multiple firm accounts.

5. Your content and responsibilities

You retain ownership of case files, evidence, annotations, presentations, transcripts, prompts, and outputs stored by ShowCase. You are responsible for lawful collection, use, disclosure, retention, backup, security, and deletion of that content, including confidential, privileged, personal, medical, biometric, or court-restricted information.

You must verify all exhibits, citations, transcripts, AI outputs, display routing, and courtroom procedures. ShowCase is a presentation and organization tool, not legal advice, a record-preservation service, an evidence-admissibility guarantee, or a substitute for professional judgment and required backups.

6. Acceptable use

You may not share credentials outside licensed seats; copy, resell, sublicense, or distribute the software except as expressly authorized; bypass entitlement or seat controls; reverse engineer except where law expressly permits; interfere with security or service operation; use ShowCase to violate law or another person's rights; or upload malicious code through any Aris Party service.

7. Updates, availability, and third parties

We may provide fixes, security updates, and feature changes and may require an update for continued compatibility or security. We may suspend the subscription service for maintenance, security, legal compliance, or misuse. Internet, display, courtroom, operating-system, hardware, Stripe, Firebase, download, and local AI services are outside our complete control. You are responsible for testing your actual equipment and maintaining a fallback presentation method.

8. Disclaimers

To the maximum extent permitted by law, ShowCase is provided "as is" and "as available." Aris Party disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, evidentiary admissibility, and any specific legal or case outcome. Nothing in these terms excludes a warranty or consumer right that cannot lawfully be excluded.

9. Limitation of liability

To the maximum extent permitted by law, Aris Party will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, evidence, opportunity, or goodwill. Aris Party's aggregate liability arising from ShowCase will not exceed the amount you paid for ShowCase during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.

10. Termination

You may stop using ShowCase and cancel your subscription at any time. Aris Party may suspend or terminate access for material breach, fraud, non-payment, security risk, unlawful use, or when required by law. Sections concerning payment obligations, content responsibility, disclaimers, liability, disputes, and provisions that by their nature should survive will survive termination.

11. Governing law and disputes

These terms are governed by the applicable laws of the United States and the state in which ARIS PARTY LLC is organized, without regard to conflict-of-law rules. The state and federal courts with jurisdiction over ARIS PARTY LLC have exclusive jurisdiction, except where mandatory consumer law gives you another forum or right. Before filing a claim, contact us and allow 30 days for a good-faith attempt to resolve it.

12. General terms and contact

These terms, the Privacy Policy, and the price and plan details shown at Checkout form the entire agreement for the subscription. If one provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. You may not assign the agreement without consent; Aris Party may assign it as part of a reorganization, financing, or transfer of the ShowCase business.
